1. Acceptance of Terms

By accepting these Terms, you confirm that:

• You are at least 18 years old.
• You have the legal capacity to enter into this agreement.
• If you're using the Service on behalf of a company or other entity, you have the authority to bind that entity to these Terms.

2. Description of Service

Sampo is a competitive pricing intelligence and repricing platform for e-commerce businesses. It monitors competitor prices, stock levels, and promotions; surfaces market insights; generates pricing recommendations; and can automatically execute repricing through rules you define and activate.

Key components of the Service include:

• Competitor monitoring: Track the prices, stock levels, and promotions of competitors you select. Sampo can monitor any online store, including global marketplaces such as Amazon and Noon.
• Automatic product matching: For the SKUs you choose to monitor, Sampo automatically matches the equivalent products across your tracked competitors.
• Market insights: Price positioning, competitor price activity, discount analysis, and price-follower detection.
• Pricing recommendations: Actionable recommendations based on market conditions and your goals.
• Automated repricing (optional): Rule-based price adjustments with margin protection, display control, and a full audit log.
• Alerts: Notifications for events such as competitor price changes and stock-outs.
• MAP Monitoring (optional add-on): Reseller and competitor monitoring against your Minimum Advertised Prices, with screenshot evidence and reporting.
• Integrations: Connect Shopify, WooCommerce, Zid, or Salla. Custom store connections via API are available as an add-on. The Service may also be used without connecting a store by uploading your product catalogue.

A fuller description of the Service is set out in the Sampo Service Description. Competitive benchmarks are based on competitor and marketplace data across your selected competitive set, with deep expertise in MENA market dynamics.

3. Account Creation and Security

3.1. To use the Service, you must create an account by providing your company name and contact details and — where you connect a store — your store URL. You may also use the Service without connecting a store by uploading your product catalogue (for example, via CSV). You may create an account using an email and password or through Google Sign-In.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3. You are solely responsible for the accuracy and completeness of the information you provide when creating your account and connecting your e-commerce store.

4. Subscription Plans and Payment

4.1 Plans and Add-Ons

The features, limits, and scope available to you — including the number of tracked competitors, monitored SKUs, data refresh frequency, and connected stores — depend on the subscription plan you select. Current plans and pricing are available at getsampo.com. Optional add-ons, including MAP Monitoring, custom store / API connections, and data refresh frequencies above the standard daily refresh, are billed in addition to your base plan.

4.2 Payment Terms

• Billing: Fees are due in advance, on the billing cycle set out in your plan or agreement. Payment may be made by credit card (processed by Stripe) or, where agreed, by invoice and bank transfer.
• Refunds: All fees are non-refundable unless otherwise specified.

4.3 Prices and Changes to Pricing

We reserve the right to change our pricing at any time. Current prices are always available at getsampo.com. Your continued use of the Service after a price change becomes effective constitutes your agreement to pay the modified price. Where a signed agreement specifies fixed pricing for a term, that pricing governs for the duration of that term.

5. User Responsibilities and Acceptable Use

5.1. By using the Service, you agree to:

• Provide accurate and up-to-date information about your business and e-commerce store.
• Use the Service in compliance with all applicable laws and regulations.
• Not use the Service for any illegal or unauthorized purpose.
• Not attempt to gain unauthorized access to the Service or its related systems.
• Not interfere with or disrupt the integrity or performance of the Service.

5.2. You shall not, and shall not allow any third party to:

• Transfer, sell, lease, or sublicense the Service or access to it.
• Modify, adapt, translate, reverse engineer, decompile, or attempt to derive source code from the Service.
• Remove or alter any proprietary notices or labels on the Service.
• Create a competing product or service using ideas, features, functions, or graphics similar to the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.

6. Data Handling and Privacy

6.1. By using the Service, you grant us permission to access and use your e-commerce data to provide, maintain, and improve the Service. Personally identifiable information is hashed.

6.2. We use your data to operate, maintain, and improve the Service. We may use aggregated and anonymised data — data that does not identify you, your business, or your customers — for analytics and to improve our models and the Service. Your data is stored securely and is not shared with third parties except with our subprocessors as necessary to provide the Service, or as required by law.

6.3. We engage trusted third-party service providers ("subprocessors") — for example, cloud hosting, payment processing, and data-collection infrastructure — to help deliver the Service. These subprocessors are bound by obligations consistent with these Terms.

7. Intellectual Property Rights

7.1. Sampo owns all intellectual property rights to the Service, including but not limited to software, algorithms, analytics, and any related documentation.

7.2. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms for the duration of your subscription.

7.3. You retain all rights to your own data. By using the Service, you grant us a worldwide, non-exclusive license to use, store, and process your data solely for the purposes of providing and improving the Service.

8. Confidentiality

8.1. Each party agrees to keep confidential any proprietary information disclosed by the other party in connection with the Service.

8.2. Unless you opt out, you grant us permission to use your company name and logo on our website and in our marketing materials as a reference customer.

9. Disclaimers and Limitation of Liability

9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2. TO THE FULLEST EXTENT PERMITTED BY LAW, SAMPO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3. SAMPO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE, OR THAT MONITORED DATA, MATCHES, OR RECOMMENDATIONS WILL BE COMPLETE OR ACCURATE. YOU REMAIN RESPONSIBLE FOR ALL PRICING DECISIONS, INCLUDING THOSE EXECUTED THROUGH AUTOMATED RULES YOU ACTIVATE.

9.4. IN NO EVENT SHALL SAMPO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

9.5. SAMPO'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Term, Cancellation, and Termination

10.1. These Terms will remain in effect while you use the Service.

10.2. You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of your current billing period. Where a signed agreement specifies a fixed term, cancellation is governed by that agreement.

10.3. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

10.4. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to the Service and Terms

11.1. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

11.2. We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

12.1. These Terms are governed by and construed in accordance with the laws applicable in the Dubai International Financial Centre (DIFC), United Arab Emirates, without regard to conflict-of-law principles.

12.2. The courts of the Dubai International Financial Centre (DIFC) shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms or the Service.

13. Miscellaneous

13.1. These Terms, together with any signed agreement between the parties, the details of your applicable subscription plan, and the Sampo Service Description, constitute the entire agreement between you and Sampo regarding the Service and supersede all prior agreements and understandings.

13.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.3. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4. You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms without restriction.
