1. Acceptance of Terms

By accepting these Terms, you confirm that:

• You are at least 18 years old.
• You have the legal capacity to enter into this agreement.
• If you're using the Service on behalf of a company or other entity, you have the authority to bind that entity to these Terms.

2. Description of Service

Sampo provides automated pricing optimization for e-commerce stores, adjusting product prices based on demand, supply, competition, and seasonality to improve sales and profitability.

Key features include:

• Easy Integration: Connect to e-commerce platforms like WooCommerce, Shopify, Zid, Salla, Magento. Custom integrations for Enterprise users.
• Analytics: Product performance insights, pricing strategy assessments, and general site analytics.
• A/B Testing: Conduct tests to optimize pricing.
• Pricing Control and Strategy Management: Set strategies, markups, and discounts.
• Real-Time Pricing Adjustments: Automatic pricing optimization based on the Pricing Strategy.
• Competitive Benchmarks: Pricing intelligence based on millions of products monitored from MENA based e-commerce sites.

3. Account Creation and Security

3.1. To use our Service, you must create an account by providing your store URL, company name, and contact details. You may create an account using an email and password or through Google Sign-In.

3.2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3. You are solely responsible for the accuracy and completeness of the information you provide when creating your account and connecting your e-commerce store.

4. Subscription Plans and Payment

4.1 Subscription Tiers

• Sampo Basic: Up to $25,000 in monthly sales, 50 products, 3 pricing strategies, 1 store.
• Sampo Pro: Up to $100,000 in monthly sales, unlimited products, unlimited pricing strategies, 1 store.
• Sampo Enterprise: Custom integrations, unlimited sales, products, strategies, 5 stores (One-time custom integration fee may apply).

4.2. Payment Terms

• Billing: Payments are due monthly in advance via credit card (processed by Stripe).
• Refunds: All fees are non-refundable unless otherwise specified.

4.3. Prices and Changes to Pricing

We reserve the right to change our pricing at any time. Current prices are always available at getsampo.com. Your continued use of the Service after the price change becomes effective constitutes your agreement to pay the modified price.

5. User Responsibilities and Acceptable Use

5.1. By using our Service, you agree to:

• Provide accurate and up-to-date information about your business and e-commerce store.
• Use the Service in compliance with all applicable laws and regulations.
• Not use the Service for any illegal or unauthorized purpose.
• Not attempt to gain unauthorized access to the Service or its related systems.
• Not interfere with or disrupt the integrity or performance of the Service.

5.2. You shall not, and shall not allow any third party to:

• Transfer, sell, lease, or sublicense the Service or access to it.
• Modify, adapt, translate, reverse engineer, decompile, or attempt to derive source code from the Service.
• Remove or alter any proprietary notices or labels on the Service.
• Create a competing product or service using ideas, features, functions, or graphics similar to the Service.
• Use the Service in any manner that could damage, disable, overburden, or impair our servers or networks.

6. Data Handling and Privacy

6.1. By using our Service, you grant us permission to access and use your e-commerce data to provide, maintain, and improve our Service.

6.2. We use your data to operate and enhance our Service, including training our AI models. Your data is stored securely and is not shared with third parties except as necessary to provide the Service or as required by law.

7. Intellectual Property Rights

7.1. Sampo owns all intellectual property rights to the Service, including but not limited to software, algorithms, analytics, and any related documentation.

7.2. We grant you a limited, non-exclusive, non-transferable, and revocable license to use the Service in accordance with these Terms for the duration of your subscription.

7.3. You retain all rights to your own data. By using the Service, you grant us a worldwide, non-exclusive license to use, store, and process your data solely for the purposes of providing and improving the Service.

8. Confidentiality

8.1. Each party agrees to keep confidential any proprietary information disclosed by the other party in connection with the Service.

8.2. Unless you opt out, you grant us permission to use your company name and logo on our website and in our marketing materials as a reference customer.

9. Disclaimers and Limitation of Liability

9.1. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

9.2. TO THE FULLEST EXTENT PERMITTED BY LAW, SAMPO DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9.3. SAMPO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

9.4. IN NO EVENT SHALL SAMPO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR USE OR INABILITY TO USE THE SERVICE.

9.5. SAMPO'S TOTAL LIABILITY UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE PAST 12 MONTHS.

10. Term, Cancellation, and Termination

10.1. These Terms will remain in effect while you use the Service.

10.2. You may cancel your subscription at any time through your account settings. Your subscription will remain active until the end of your current billing period.

10.3. We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.

10.4. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Changes to the Service and Terms

11.1. We reserve the right to modify or discontinue, temporarily or permanently, the Service (or any part thereof) with or without notice.

11.2. We may update these Terms from time to time. If we make material changes, we will notify you via email or through the Service. Your continued use of the Service after such notice constitutes your acceptance of the new Terms.

12. Governing Law and Dispute Resolution

12.1. These Terms shall be governed by and construed in accordance with the laws of Dubai International Financial Center, United Arab Emirates, without regard to its conflict of law provisions.

12.2. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of The courts of Dubai International Financial Center, United Arab Emirates. The arbitration shall be conducted in Dubai International Financial Center, United Arab Emirates.

13. Miscellaneous

13.1. These Terms constitute the entire agreement between you and Sampo regarding the Service and supersede all prior agreements and understandings.

13.2. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13.3. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

13.4. You may not assign or transfer these Terms, in whole or in part, without our prior written consent. We may assign these Terms without restriction.
